Ding! Terms of Use & Acceptable Use Policy

Ding! is operated by Join Ding LLC ("Join Ding," "Ding!," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of Ding! (the "Platform"), an AI-powered restaurant platform available at participating restaurants (each a "Partner Restaurant").
By accessing or using Ding!, you agree to be bound by these Terms and acknowledge Ding!'s Privacy & Cookie Policy. If you do not agree, do not use the Platform.
1. Eligibility
Ding! is intended for users 13 years of age or older (or older where required by local law). If you are using Ding! on behalf of an entity, you represent you have authority to bind that entity to these Terms.
2. What Ding! Does
Ding! helps diners:
- View restaurant menus via QR code or other access methods
- Use dietary filters and allergen indicators
- Create preferences (e.g., vegetarian, keto, nut-free, high-protein) to personalize recommendations
- Ask questions to an AI assistant about menu items, ingredients, and pairings
- Provide feedback about menu items
3. Acceptable Use Policy
You agree not to:
- Use offensive, abusive, threatening, or harassing language
- Submit false, misleading, or fraudulent information
- Attempt to hack, scrape, probe, reverse-engineer, or disrupt the Platform
- Use bots/scripts to access the Platform or overload it
- Use Ding! in violation of applicable laws or Partner Restaurant policies
- Interfere with other users' experiences or restaurant operations
Violation may result in suspension or termination of access.
4. Profiles, Dietary Preferences, and Safety
If you choose to provide dietary preferences (including allergens), you are responsible for ensuring they are accurate and up to date. Ding! may use these preferences to filter menus and generate recommendations, but Ding! cannot guarantee allergen safety.
5. Reviews, Feedback, and User Content
You may submit item-level ratings, tags, or comments ("User Content"). Operational tags (e.g., "too salty," "too spicy") may be visible to restaurant staff. Feedback may be aggregated/anonymized to improve recommendations and restaurant insights.
By submitting User Content, you grant Ding! a non-exclusive, royalty-free, worldwide license to use, store, analyze, display, and reproduce that content only to operate, maintain, and improve the Platform and provide insights to Partner Restaurants.
6. Artificial Intelligence Disclosure
Ding! uses AI to generate responses and recommendations. AI outputs:
- Are informational only
- May be inaccurate, incomplete, or outdated
- Do not constitute medical, dietary, allergy, legal, or professional advice
Always verify critical information (especially allergens and ingredients) directly with restaurant staff. Ding! makes no guarantees regarding AI outputs.
7. Data Use and Sharing (Partner-Restaurant Only)
Partner Restaurant sharing: We may share relevant data only with the Partner Restaurant you are interacting with to provide the experience and improve service (e.g., aggregated feedback, menu engagement metrics, and—if you choose—dietary preference context that affects recommendations at that restaurant).
We do not sell your personal information and do not share your personal data with third parties for their own marketing.
Limited exceptions: We may share data beyond the Partner Restaurant only to:
- Operate the Platform through vendors and sub-processors (see our Sub-processors list) under confidentiality obligations
- Comply with law or legal process, or enforce these Terms
- Protect rights, safety, and security
- Support corporate transactions (e.g., merger/acquisition) with appropriate safeguards
If there is any conflict between this section and the Privacy & Cookie Policy, the Privacy & Cookie Policy governs.
8. Intellectual Property
The Platform and its software, design, trademarks, and content (excluding User Content) are owned by Ding! or its licensors. You may not copy, reproduce, distribute, or create derivative works without prior written permission.
9. Disclaimers
Ding! is provided "as is" and "as available." We disclaim all warranties, express or implied, including accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee:
- Continuous, secure, or error-free operation
- Accuracy of menu, ingredient, nutrition, or allergen information
- Availability of features at every Partner Restaurant
Use is at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, Ding! is not liable for:
- Food safety, allergens, dietary outcomes, or ingredient accuracy
- Partner Restaurant service, fulfillment, delays, or errors
- Miscommunications between diners and restaurant staff
- Any indirect, incidental, consequential, special, or punitive damages
Ding!'s total liability for any claim shall not exceed $100 unless required otherwise by law.
11. Suspension and Termination
We may suspend or terminate access if we reasonably believe you violated these Terms or misused the Platform.
12. Arbitration & Class Action Waiver (Ohio)
Any dispute arising out of or relating to these Terms or your use of Ding! will be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration will be individual only; you waive class/collective actions. Arbitration will take place in Ohio unless otherwise required by law.
13. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.
14. Changes to These Terms
We may update these Terms periodically. Continued use of Ding! after updates constitutes acceptance of the revised Terms.
15. Partner Restaurant AI Tools & Image Enhancement
Ding! provides Partner Restaurants with AI-powered tools including, but not limited to, AI Photo Enhancement ("AI Tools"). Partner Restaurants' use of AI Tools is also governed by the Partner Agreement. By using any AI Tool, Partner Restaurants agree to the following:
- Accuracy responsibility: Partner Restaurants are solely responsible for ensuring that any AI-enhanced or AI-generated images used in menus, marketing materials, or customer-facing content accurately represent the food and beverages served. Images must not mislead customers about the appearance, quantity, or quality of menu items.
- Compliance with advertising law: Partner Restaurants must comply with all applicable food advertising laws and regulations, including FTC guidelines (United States), ASA rules (United Kingdom), and any other local or national standards governing food marketing and truth-in-advertising.
- Input content: Partner Restaurants warrant they own or have the right to use any images submitted for AI enhancement. Do not submit images you do not have rights to.
- No liability for AI outputs: Ding! provides AI Tools "as is" and makes no representations about the accuracy, quality, or fitness of AI-enhanced images for any particular purpose. Ding! is not liable for any claims, fines, damages, or disputes arising from a Partner Restaurant's use of AI-enhanced images.
- Disclosure: Where required by applicable law, Partner Restaurants are responsible for disclosing to customers that food images have been AI-enhanced.
Ding! reserves the right to suspend or terminate AI Tool access for any Partner Restaurant found to be using AI-enhanced images in a misleading or unlawful manner.
